Our Board and Executive Team

Investcorp Capital is dedicated to upholding international best practices while ensuring compliance with ADGM and UAE regulatory requirements. The Company boasts dedicated committees and a highly experienced executive management team, along with a distinguished Board of Directors.

Board of Directors

The Board of Directors consists of nine members, including five representatives of the Investcorp Group and four independent members. The Board is responsible for ensuring effective and appropriate governance of the Company. The independent members contribute expertise in areas such as private capital, energy, insurance and sustainability.

Mohammed Bin Mahfoodh Alardhi is the Executive Chairman of Investcorp. Under his leadership, Investcorp grew its assets under management from $10 billion to $60 billion in ten years, diversified its asset classes, and expanded its global presence.

He leads the firm’s activities across its global office network in New York, London, Bahrain, Abu Dhabi, Riyadh, Doha, Mumbai, Delhi, Beijing, Singapore and Japan. Prior to his appointment as Executive Chairman in 2015, he was an Investcorp Board Director since 2008.

Mohammed is a retired Air Vice Marshal and was the youngest and longest-serving Chief of the Omani Air Force, having joined the Royal Air Force of Oman (RAFO) in 1978. In 2000, he was awarded the “Order of Oman” by the Late Sultan Qaboos bin Said Al-Said.

In addition to his role at Investcorp, Mohammed serves as the Chairman of the Muscat Stock Exchange, and the Chairman of the Board of Trustees at the College of Banking and Financial Studies in Muscat, and Chairman of the Board of Directors at The Royal Jet Group, Abu Dhabi.

He sits on several boards, including the International Advisory Board of The Brookings Institution in Washington, D.C., the Eisenhower Fellowship in Philadelphia, The World Economic Forum’s Community of Chairpersons, the Harvard Kennedy School Dean’s Council, the Harvard Center for Public Leadership, and is a member of The Global Advisory Council of the Wilson Centre.
He is the author of three published books, and his most recent title, “Connecting to the Future”, became a US best-seller in 2023. The book is a comprehensive guide to creating a forward-thinking blueprint for dynamic company growth and large-scale success. His other two published books are “Arabs Down Under” and “Arabs Unseen”.

Mohammed holds a Bachelor of Science degree in Military Science from the Royal Air Force UK Staff College in Bracknell, UK and a master’s in public administration from the John F. Kennedy School of Government, Harvard University. He is a graduate of the Royal Air Force Military Academy in Cranwell, UK, and the National Defence University in Washington D.C.

With over 23 years of experience in the financial services industry, including 18 years with the Investcorp Holdings B.S.C. (c ) group, Ghassan Abdulaal is the Head of Business Development Support and Product Specialists within the Investor Relationship Management team of Investcorp. Over the years, Mr. Abdulaal has held a number of senior positions in the Investcorp group. In the past he has worked as an Investment Manager with Bahrain Mumtalakat Holding Company B.S.C (c) and worked at KPMG where he was a Consultant within the Business Performance Improvement Group. Mr. Abdulaal is also a Board member of various organizations including Investcorp Saudi Arabia Financial Investments Company, Investcorp Financial Services BSC (c) and several other entities affiliated with Investcorp. He has served as an independent director of Bahrain Development Bank since 2016 before being appointed as Chairman to its board in 2022.

Mr. Abdulaal holds a Master of Science in Analysis, Design and Management of Information Systems from the London School of Economics and a Bachelor’s degree (Honors) in Accounting and Finance from the University of Kent.

Executive Management

Investcorp Capital’s executive management team has over 50 years of combined experience, demonstrating deep industry knowledge and a proven track record of delivering strong financial performance. Our executive management team is responsible for implementing Investcorp Capital’s strategy, which includes reviewing and approving investments, as well as ensuring that the performance of the Investcorp Group and other external service providers aligns with all relevant agreements.

Sana brings over 35 years of financial and strategic leadership experience from international C-Suite positions across both listed and private companies, including Aldar, Waha Capital, NBK Capital, and National Bank of Kuwait. Under her guidance, she successfully led businesses through international growth, complex transformations, capital allocations, and corporate governance initiatives. She brings profound understanding of a complementary set of industries, including private equity, real estate, asset management, and financial services.

As Chief Executive Officer of Investcorp Capital, Sana will be able to leverage her proven ability to drive shareholder value and deliver operational excellence across both public and private institutions in helping the Company capitalize on global investment opportunities and advance its alternative investments focused strategy for all its stakeholders. The appointment also significantly strengthens the Company’s stakeholder management capabilities.

Board Committees

Investcorp Capital is committed to Investcorp Group’s core principles of transparency, innovation and a focus on generating superior results. As such, it has three dedicated Committees that report directly to the Board of Directors on Audit and Valuation, Nomination and Remuneration, and Relationship with Investcorp Group. All three Committees are chaired by an independent member of the Board.

The Audit and Valuation Committee assists the Board in discharging its responsibilities relating to financial reporting, external and internal audits and controls. The Audit and Valuation Committee also assists the Board in overseeing the valuation process carried out by management, reviewing and approving valuation policy and Investcorp Capital's procedures manual on an annual basis, and liaising with auditors regarding their views on valuation.

The Nomination and Remuneration Committee assists the Board in setting and overseeing the nomination and remuneration policies for the Board, any committees of the Board, and senior management. It is responsible for evaluating the hiring of Investcorp Capital's senior executive management, the Board and committees and monitoring the status of the independent Directors. It is also responsible for periodically reviewing the Board's structure and identifying, where relevant, potential independent candidates to be appointed as Directors or Committee members as needed. In addition, the Nomination and Remuneration Committee assists the Board in its responsibilities around remuneration, including making recommendations to the Board on Investcorp Capital's policy on executive remuneration.

The Relationship Committee has oversight of certain management, business and operational matters where a conflict of interest may arise between Investcorp Capital and the rest of the Investcorp Group. Among other things, the Committee be responsible for reviewing and implementing all agreements between Investcorp Capital and Investcorp Group.
